These terms apply to quotations, agreements and services from T-NOVA, including websites, webshops, web applications, hosting and maintenance. A quotation may contain additional or deviating project-specific agreements.
1. Quotations and agreement
Quotations are without obligation unless they state otherwise. An agreement is formed after written acceptance by T-NOVA or when T-NOVA starts the agreed work. These terms are supplied with the quotation and form part of the agreement.
2. Scope, planning and cooperation
We deliver the scope described in the quotation. Changes, new features or additional rounds of feedback may affect price and planning and are agreed separately. The client supplies correct, timely content, feedback and access needed for the project.
3. Fees and payment
Prices exclude VAT unless stated otherwise. Invoices must be paid within the stated payment term. T-NOVA may suspend work or delivery if payment is overdue.
4. Delivery and acceptance
After delivery, the client checks whether the work matches the agreed scope. Report material defects in writing within 14 days. If no report is made within that period, the delivery is deemed accepted.
5. Intellectual property
Existing tools, code, methods and components remain the property of T-NOVA or its licensors. After full payment, the client receives the agreed right to use the final project deliverable. Third-party licences and open-source licences remain subject to their own terms.
6. Hosting, maintenance and third parties
Unless agreed otherwise in writing, hosting, domains, updates, back-ups and support are not included in a project price. Services from third parties, such as hosting providers, payment providers and fonts, are subject to their own terms and availability.
7. Liability and termination
T-NOVA is liable only for direct damage caused by an attributable failure and only up to the amount paid for the relevant assignment, except where liability cannot legally be excluded. Neither party is liable for indirect damage, lost profit or data loss, except in cases of intent or deliberate recklessness. Either party may terminate an ongoing agreement in writing if the other party materially fails to perform after a reasonable opportunity to remedy the failure.
8. Privacy and applicable law
If T-NOVA processes personal data on behalf of a client, the parties make a separate data processing agreement where required. Dutch law applies to the agreement and these terms. Questions can be sent to info@t-nova.nl.
